These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and ToolsIQ LLC (“ToolsIQ,” “we,” “us,” or “our”), a limited liability company organized under the laws of the State of Connecticut. These Terms govern your access to and use of our websites, applications, APIs, and related services (collectively, the “Services”).
By accessing or using any ToolsIQ Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization (such as a university, dental practice, or business), you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not access or use the Services. We reserve the right to modify these Terms at any time. Continued use of the Services after changes constitutes acceptance of the modified Terms.

All intellectual property rights in and to the Services — including but not limited to software, algorithms, AI models, interfaces, designs, logos, trademarks, documentation, and content — are and shall remain the exclusive property of ToolsIQ LLC. Nothing in these Terms grants you any right, title, or interest in our intellectual property except for the limited right to use the Services as described herein.
You retain ownership of content you submit to the Services (e.g., case studies, patient records, career profiles). By submitting content, you grant us a limited license to process, store, and display that content solely for the purpose of providing the Services to you.
Feedback, suggestions, and improvement ideas you provide about the Services may be used by ToolsIQ without obligation to you.
Certain Services require a paid subscription. Payment terms vary by product:
All payments are processed securely through Stripe. By providing payment information, you authorize us to charge the applicable fees. All fees are non-refundable unless otherwise stated in writing or required by applicable law.
We reserve the right to change pricing with 30 days advance notice. Price changes will not affect active subscription periods.
Important: The Services are provided “as is” and “as available” without warranties of any kind, either express or implied.

To the maximum extent permitted by applicable law, ToolsIQ LLC and its founders, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of the Services.
Our total aggregate liability for all claims related to the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim. This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise).
You may stop using the Services at any time. For paid subscriptions, cancellation policies vary by product (see Payment Terms above).
We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or if we discontinue the Services. Upon termination:
These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, United States of America, without regard to its conflict of law provisions.
Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Connecticut. You consent to personal jurisdiction in these courts and waive any objection to venue.
