1. Acceptance of Terms

By accessing or using any ToolsIQ Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization (such as a university, dental practice, or business), you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Services. We reserve the right to modify these Terms at any time. Continued use of the Services after changes constitutes acceptance of the modified Terms.

2. Description of Services

ToolsIQ provides AI-powered software-as-a-service (SaaS) products designed for specific industries, including but not limited to:

• CasesIQ: AI-powered case study grading and feedback for higher education
• DentalIQ: An integrated suite of dental practice management applications including voice AI, exam analysis, patient portals, and analytics
• CareersIQ: AI career coaching and professional development tools
• WritingIQ: Full-lifecycle author and publishing platform
• ProdDevIQ: Product development lifecycle management

The Services are provided on a subscription basis with varying pricing models depending on the product. Features, availability, and pricing may change as products evolve. We will provide reasonable notice of material changes.

3. User Accounts

To access certain features of the Services, you must create an account. When creating and maintaining your account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized access to or use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates applicable laws or regulations
• Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of any part of the Services
• Copy, modify, distribute, or create derivative works based on the Services without our express written permission
• Use automated systems (bots, scrapers, crawlers) to access the Services without our prior written consent
• Interfere with or disrupt the integrity or performance of the Services or related infrastructure
• Attempt to gain unauthorized access to the Services, user accounts, or computer systems
• Use the Services to transmit malware, viruses, or other harmful code
• Resell, sublicense, or redistribute access to the Services without authorization

5. Intellectual Property

All intellectual property rights in and to the Services — including but not limited to software, algorithms, AI models, interfaces, designs, logos, trademarks, documentation, and content — are and shall remain the exclusive property of ToolsIQ LLC. Nothing in these Terms grants you any right, title, or interest in our intellectual property except for the limited right to use the Services as described herein.

You retain ownership of content you submit to the Services (e.g., case studies, patient records, career profiles). By submitting content, you grant us a limited license to process, store, and display that content solely for the purpose of providing the Services to you.

Feedback, suggestions, and improvement ideas you provide about the Services may be used by ToolsIQ without obligation to you.

6. Payment Terms

Certain Services require a paid subscription. Payment terms vary by product:

• CasesIQ: Per-course, per-semester billing. Pricing decreases with consecutive renewals ($200 first semester, $160 second, $140 third and beyond). A $10 introductory trial is available.
• DentalIQ: Per-practice monthly billing. Custom pricing based on practice size and selected modules.
• Enterprise: Custom billing arrangements available for institutional and multi-location deployments.

All payments are processed securely through Stripe. By providing payment information, you authorize us to charge the applicable fees. All fees are non-refundable unless otherwise stated in writing or required by applicable law.

We reserve the right to change pricing with 30 days advance notice. Price changes will not affect active subscription periods.

7. Disclaimers

Specifically, we disclaim the following:

• AI Output Accuracy: AI-generated content, grades, analyses, and recommendations are produced by machine learning models and may contain errors, biases, or inaccuracies. AI outputs should be reviewed by qualified professionals before being relied upon for decision-making.
• Not Professional Advice: The Services do not constitute medical, legal, financial, educational, or other professional advice. CasesIQ grading suggestions should be reviewed by instructors. DentalIQ outputs should not replace clinical judgment by licensed dental professionals.
• Service Availability: We do not guarantee uninterrupted, error-free, or secure access to the Services. Temporary outages may occur for maintenance, updates, or reasons beyond our control.
• Third-Party Services: The Services integrate with third-party providers (AI models, payment processors, cloud infrastructure). We are not responsible for the availability, accuracy, or policies of these third-party services.

8. Limitation of Liability

To the maximum extent permitted by applicable law, ToolsIQ LLC and its founders, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of the Services.

Our total aggregate liability for all claims related to the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim. This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise).

9. Termination

You may stop using the Services at any time. For paid subscriptions, cancellation policies vary by product (see Payment Terms above).

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or if we discontinue the Services. Upon termination:

• Your right to access the Services immediately ceases
• We may delete your account data after a reasonable retention period (typically 30 days)
• You may request export of your data before termination takes effect
• Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) shall remain in effect

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, United States of America, without regard to its conflict of law provisions.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Connecticut. You consent to personal jurisdiction in these courts and waive any objection to venue.
